The Securities and Exchange Board of India (SEBI) released a consultation paper on 13 May 2026 proposing key amendments to the SEBI (Issue and Listing of Municipal Debt Securities) Regulations, 2015. The proposed changes focus on allowing refinancing of existing municipal debt, strengthening disclosure requirements, enabling pooled financing through Special Purpose Vehicles (SPVs), and revising the face value norms for privately placed municipal bonds.

Municipal Debt Securities in India

Municipal debt securities are bonds issued by Urban Local Bodies (ULBs) to raise funds from capital markets. These bodies include municipal corporations, municipalities, and notified area committees operating under India’s framework of local self-governance.

Major Proposed Regulatory Reforms

• Municipal bodies may be allowed to issue bonds specifically for refinancing outstanding debt.

• Refinancing transactions would require detailed disclosures, including information on lenders, repayment timelines, interest obligations, and past restructuring history.

• A cap of 25% has been proposed on the use of issue proceeds for working capital needs.

• Pooled financing mechanisms through SPVs would enable multiple ULBs to collectively raise funds.

• Such pooled structures would be supported by escrow arrangements and credit enhancement measures to improve investor confidence.

• The minimum face value of privately placed municipal bonds may be reduced to ?10,000 or ?1 lakh to encourage broader retail participation.

• New provisions also introduce Environment, Social, and Governance (ESG)-linked municipal debt instruments.

As of 31 March 2026, 22 municipal corporations had collectively raised ?4,540 crore through 31 municipal bond issuances in India. The consultation paper remains open for public feedback until 3 June 2026.
